Acceptance of Terms

Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL AINFP, BRUCE PEA, OUR AFFILIATES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Indemnification
You agree to defend, indemnify, and hold harmless AINFP, Bruce Pea, and our affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms or applicable law; or (d) your interaction with Third-Party Services.
Governing Law
These Terms and any dispute, claim, or controversy relating to them or the Service are governed by the Federal Arbitration Act, applicable federal law, and the laws of the State of Texas, without regard to conflicts of laws principles, except as otherwise provided in the Arbitration Agreement below.
Arbitration Agreement and Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES BINDING ARBITRATION ON AN INDIVIDUAL BASIS AND A WAIVER OF JURY TRIALS AND CLASS ACTIONS.
Informal Dispute Resolution
Before initiating arbitration, you agree to first notify us of the dispute and attempt to resolve it informally by sending written notice describing the dispute to [email protected] and to the mailing address in these Terms. If we cannot resolve the dispute within 30 days, either party may commence arbitration.
Arbitration Procedures
All disputes arising out of or relating to these Terms or the Service that cannot be resolved informally will be resolved by binding arbitration administered by a recognized arbitration provider under its applicable consumer/commercial rules. The seat of arbitration will be Dallas County, Texas. The arbitration may be conducted by telephone, video, or based on written submissions, as appropriate. The arbitrator has exclusive authority to resolve disputes regarding the interpretation, applicability, enforceability, or formation of this arbitration agreement. The arbitrator may award relief on an individual basis that would be available in court. Judgment on the award may be entered in any court with jurisdiction. Each party will bear its own fees and costs, subject to applicable rules and law.
Class and Representative Action Waiver; Jury Trial Waiver
YOU AND AINFP AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. THE ARBITRATOR MAY NOT CONSOLIDATE CLAIMS OR PRESIDE OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING. IF THE CLASS ACTION WAIVER IS FOUND UNENFORCEABLE, THIS ENTIRE ARBITRATION PROVISION WILL BE UNENFORCEABLE, AND THE DISPUTE WILL BE DECIDED BY A COURT. YOU AND AINFP WAIVE THE RIGHT TO A JURY TRIAL TO THE EXTENT PERMITTED BY LAW.
Small Claims and Opt-Out
Either party may bring an individual action in small claims court in Dallas County, Texas, if the claim qualifies. You may opt out of this arbitration agreement within 30 days of first accepting these Terms by sending a written opt-out notice with your name, contact information, and a clear statement of your intent to opt out to [email protected] or to the mailing address in these Terms. If you opt out, neither party is bound by this arbitration agreement.
Termination and Suspension
We may suspend or terminate your access to the Service, or remove content, at any time for any reason or no reason, including for violation of these Terms or applicable law. Upon termination, your license to use the Service will immediately cease. Sections that by their nature should survive termination will survive, including but not limited to intellectual property, disclaimers, limitations of liability, indemnification, governing law, and arbitration.
Changes to the Service and Terms
We may modify the Service or these Terms at any time. We will post updated Terms on the Service, and the "last updated" date may be revised. Material changes will be communicated through the Service or by reasonable means. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
Availability and Force Majeure

You may not assign these Terms without our prior written consent; we may assign them without restriction.
